Welcome!  This website is operated by OLIVE DRAB GREEN, LLC D/B/A GALVANIZED IRON.  Throughout the Site, the terms “we,” “us,” “our” and “GALVANIZED IRON” refer to us. GALVANIZED IRON offers this Site and all information, tools and of all terms, conditions, policies and notices stated here.

A. ACCEPTANCE OF TERMS OF USE AND RULES AGREEMENT

Your use of our Site and services provided through our Site constitutes your agreement to be bound by all of the terms and conditions set forth in this Terms of Use and Rules Policy (‘Terms of Use”) and all of the terms and conditions of GALVANIZED IRON’S other policies, such as our Privacy Policy.  These Terms of Use apply to all users of our Site.

We ask that you please read these Terms of Use and Rules carefully before accessing or using our Site. By accessing or using any part of the Site, you agree to be legally bound by these Terms of Use. Unfortunately, if you do not agree to all of our terms and conditions, then you may not access our Site, purchase merchandise, or use any of our services.

Updates to our Site. We and/or our third-party vendors may, from time to time, add new features or tools to our Site which shall also be subject to these Terms of Use. You can review the most current version of our Terms of Use at any time on this page. We reserve the right to update, change or replace any part of these Terms of Use by posting updates and/or changes to our Site, with or without notice to you. It is your responsibility to check our Terms of Service and Use periodically for changes. Your continued use of or access to our Site following the posting of any changes constitutes acceptance of those changes.

You Must Be At Least 18!.  The Children’s Online Privacy Protection Act (“COPPA”) requires that online service providers obtain parental consent before they knowingly collect personally identifiable information online from children who are under the age of thirteen (13). We do not knowingly collect or solicit personally identifiable information from persons under the age of eighteen (18) years old.  By using our Site, you represent to us that you are at least the age of eighteen (18) years old.  If you are not at least eighteen (18) years of age, you may not make purchases from us and you should not attempt to register for an Account on our Site or send us any personal information.  If we learn that we have collected personal information from a person under the age of eighteen (18), we will delete that information as quickly as possible. If you believe that a child under thirteen (13) years of age may have accessed our Site and provided us with personal information, please contact us immediately via email at support@GI.US.com or phone at 312-351-0520.

Use Only for Legal Purposes.  You may not use our Site for any illegal or unauthorized purpose nor may you, in the use of our Site, violate any laws in your jurisdiction including but not limited to intellectual property laws.  You must not transmit any worms or viruses or any code of a destructive nature through our Site.  A breach or violation by you of any of the Terms of Service or Use for our Site will result in an immediate termination of your access to our Site.

We are a Veteran Owned enterprise that creates, produces and distributes entertaining, educational, inspiring and wholesome video products that are based on our patriotic values and the brave and dedicated Americans that served their country when called.  We seek to honor the military member and promote patriotism while partnering with and fortifying veteran support entities.  Our partnerships are our backbone. Galvanized Iron works directly with veteran and active-duty support groups, corporate America, and government affiliations to Fortify the American military member.  We call our strategic partners our GI Fortify Support Partners.  Our GI Fortify Support Partner roster is growing all the time! You do not have to create an Account with us to visit our Site, sample our video content, or to purchase our merchandise! But, if you want to do everything that you can do to help veterans, join us as a Member!

To join us as a Member, simply click JOIN NOW, or START A FREE TRIAL at tabs found at the top of our Site, or in several other places on our Site.  You will be asked to provide us with your email address and to select a username and passcode.  Once you have provided this basic requested information, you will receive a confirmation email from us confirming that you have become a Member of our Site and providing your Membership information.  You will be ready to access our Site as a Member and take advantage of all of the benefits that your membership provides.

By setting up an Account, you confirm that you understand and agree that any information that you provide to us may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

We reserve the right to refuse or cancel your Account and your use of our Site and services at any time without or without cause or notice at our sole discretion.

 

  1. General Terms of Use
    You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of our Site without our express written permission.
    The headings used in this Terms of Use Policy, and all of our legal policies, are included for convenience only and will not limit or otherwise affect these Terms.
    We do not discriminate against any person or entity based on national origin, religion, age, race, gender, disability, veteran status or other status protected by law.
    We reserve the right to refuse service and access to our Site to anyone for any reason at any time.
  2. Accuracy, Completeness And Timeliness Of Information
    We may periodically update our services and information on the Site. We may experience delays in providing services or updating information on the Site and/or in our advertising on other websites. Information found on our Site may contain errors or inaccuracies and may not be complete or current. We therefore reserve the right to change or update information on the Site and to correct errors, inaccuracies, or omissions at any time without prior notice.
  3. Your Account With Us With Us And Use Of Services
    When you register for an Account with us, and use our Site and services, and make purchases through our Site, you guarantee that you are above the age of eighteen (18), and that the information you provide to us is accurate, complete and current at all times and in all respects. Inaccurate, incomplete or obsolete information may result in the immediate termination of your usage of our Site.  You are responsible for maintaining the confidentiality of any Account and password that you establish with us, including but not limited to the restriction of access to your computer and/or Account. You agree to accept responsibility for any and all activities or actions that occur under your Account and/or password, whether your password is with our Site or a third-party website. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your Account. You may not use as a username the name of another person or entity or that is not lawfully available for use or a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene. We reserve the right to refuse service, terminate accounts and remove users in our sole discretion.

    We reserve the right to refuse any service that you request of us. We may, in our sole discretion, limit or cancel services or access to our Site.  In the event that we have a concern about your use of our Site or services, we may attempt to notify you by contacting the email and/or address/phone number provided at the time your Account was established.

  4. Online Purchases
    You can make merchandise purchases on our Site as a Guest or a Member and/or JOIN as a Member by selecting a Membership Plan.  All merchandise purchases made on our Site are governed by our Sale, Shipping And Return Policy.  For unlimited web site access memberships, once you have made your plan selection, unless you have selected our 15-Day FREE trial, you will be directed to our Checkout screen, where you will need to enter your credit card information to process future payment for your purchases. Your creation of an Account with us to make merchandise (GI Gear) purchases is an option but is not required. However, all site access other than merchandise, will require membership.  In all cases, we will email you a receipt for your purchase(s) if you provide us with your email address.

    In processing a purchase through our Site, you will be asked to supply the following information:  your credit card number, the expiration date of your credit card, your credit card security number, and your billing and shipping address(es). This information constitutes your Personal Information and is subject to our separate Privacy Policy(ies).  We utilize the services of a third-party merchant card processors, STRIPE, and SHOPIFY for purposes of accepting payment for purchases through our Site.  Our third-party merchant card processors are the only party that has access to and/or maintains any information about your credit card.  We do not maintain or store any credit card numbers or associated billing information in our Site or related databases or systems.  Thus, your purchase of products through our Site is also subject to the terms and conditions of our third party merchant card processor, as well as the privacy policy of our processor, which can found at Privacy Policy

    In making any purchase through the Site, you represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any purchase; and that (ii) the information you supply to us is true, correct and complete. We reserve the right to refuse or cancel your purchase at any time for reasons including but not limited to: product availability, errors in the description or price of the product, error in your purchase or other reasons. We reserve the right to refuse or cancel your purchase if fraud or an unauthorized or illegal transaction is suspected.

    If you are a citizen or resident of a country other than the United States and are using a credit card issued by a card issuer, bank or financial institution based outside of the United States to make a purchase, your purchase may be considered to be an international transaction and it is possible that your card issuer, bank or financial institution may not allow or deny the purchase.  In these cases, the issue is the result of the transaction being flagged as potentially fraudulent or as violating your card issuer’s rules or policies.  In such an instance, you may need to contact your card issuer to request that they allow the transaction.

D. FEES

We currently charge a fee for a user to establish an Member Account with our Site and gain unlimited access to all content or services offered. However, to allow a potential Member to peruse the high level of quality of our content and our mission to provide support to the men and women who have sacrificed so much for our country and each of our freedom, we offer a 15-day FREE unlimited trial requiring email and username and unencumbered by credit card entry. In all our Membership Plans, we will clearly and conspicuously post those fees on our Site so you can make an informed decision about using our services or paying for Membership, and you will be able to cancel at any time. However, there will be no refund for monthly or annual site memberships cancelled within a paid period. Memberships will typically automatically renew. If cancelled, access to the web site will continue and automatically terminate at the end of the current paid billing period, and will not renew.

E. LINKS TO OTHER WEBSITES

Our Site may contain links to third party websites or websites that are not owned or controlled by us. We have no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party websites. We do not warrant the offerings of any of these entities/individuals or their websites. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, services, goods or websites available on or through any such third party web sites. We strongly advise you to read the terms and conditions and privacy policies of any third party website that you visit.

F. PERSONAL INFORMATION

Your submission of Personal Information to us through our Site and Platform is governed by our Privacy Policy.  If you are a resident of California, your submission of Personal Information may be governed by our Privacy Policy for California residents.  By using our Site and Platform, you expressly acknowledge that you agree to the terms and conditions of all of our applicable Privacy Policies.

G. INTELLECTUAL PROPERTY

  1. Our Trademarks and Service Marks.

    GALVANIZED IRON, SPOONFUL, and GI FORTIFY are trademarks of Olive Drab Green, LLC D/B/A GALVANIZED IRON. The Site, including, without limitation, its graphics, logos, page headers, icons, and scripts constitute trade dress of GALVANIZED IRON. You may not use or reproduce, or cause to be used or reproduced, our trademarks, service marks or trade dress, without prior written approval from us. Our trademarks, service marks, and trade dress may not be used in connection with any product or service that is not affiliated with us. Our trademarks, service marks, and trade dress may not be used in any manner that (i) dilutes the rights of GALVANIZED IRON, (ii) disparages or discredits GALVANIZED IRON, or (iii) is likely to cause confusion among the general public. Any trademarks that are not GALVANIZED IRON trademarks and that appear in the Site are the property of their respective owners, who may or may not be affiliated with or sponsored by us.

    The Site and the original content, features and functionality of same and are and will remain the exclusive property of GALVANIZED IRON, its affiliates and/or its licensors. Our Site and content are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our intellectual property may not be used in connection with any product, service or website without the prior express written consent of GALVANIZED IRON.
  1. Copyright Protection.

    The design, content, graphics, compilation, magnetic translation, organization, digital conversion and other matters related to our Site and to our video and movie content and services are protected under applicable copyrights, trademarks and other proprietary rights, including without limitation, intellectual property rights. Except as permitted by these Terms of Use, you are strictly prohibited from copying, redistributing, using, or publishing any such matters or any part of our Site or content.  You do not acquire ownership rights to any content or other materials viewed through our Site or as the result of becoming a Member of our Site.  Our Site may include photographs or video content belonging to others.  Except as specifically provided in this Agreement, you may not use our Site, or any content retrieved from our Site or your Account in any manner that infringes the copyrights or proprietary interests therein or any other intellectual property or legal rights. You may not remove or obscure the copyright notice or other notices contained in our Site, our content, our services or our merchandise.
  1. Reverse Engineering and Copying.

    You agree that you will not attempt, and if you are a corporation, you will use your best efforts to prevent your employees and contractors from attempting, to reverse compile, modify, engineer, translate or disassemble our Site or services in whole or in part. Any failure to comply with the above or any other terms and conditions contained in our Terms of Use or any other legal policies will result in the automatic termination of your Account with us and we will immediate block and remove your access to our Site and services.

H. GENERAL PROHIBITED USES/REMOVAL FROM SITE

  1. In addition to any other prohibitions that may be set forth in these Terms of Use, you are prohibited from using our Site or services or our content:

    1. If you under the age of 18.
    2. For any unlawful purpose;
    3. To solicit others to perform or participate in any unlawful acts;
    4. To violate any international, federal, provincial or state regulations, rules, laws, or local ordinances;
    5. To infringe upon or violate our intellectual property rights or the intellectual property rights of others;
    6. To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
    7. To submit false or misleading information;
    8. To upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Site or of any related website, other websites, or the Internet;
    9. To collect or track the personal information of others;
    10. To spam, phish, pharm, pretext, spider, crawl, or scrape;
    11. For any obscene or immoral purpose;
    12. To interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet; or
    13. To reverse compile, modify, engineer, translate or disassemble our Site, Platform or services in whole or in part.

    We reserve the right to terminate your use of the Site and your Account for violating any of the prohibited uses.

I. RULES AND PROHIBITED USES/REMOVAL SPECIFIC TO GI FORUM

  1. As with any community, rules and guidelines are important to keep the community running smoothly. Please keep in mind our rules whenever posting to keep our community pleasant for members and guests alike.

    GI Forum is primarily a support community for its’ Members, rather than a general chat/discussion community. It is a community built around people getting and giving help and guidance. Your behavior should reflect that. The rules here are not exhaustive and will be modified over time as necessary. Use common sense.

    Access to the community is a privilege, not a right, and members who continually breach these rules will find themselves limited or removed from the community, regardless of the other contributions they have made.

     The following is a list of Terms and Rules to govern our GI Forum interactive discussion page. And note that GI Forum is driven and hosted independently by the Xenforo App. And therefore, Terms of Use and Rules for GI Forum are all inclusive between Galvanized Iron and Xenoforo.

    1. The GI Forum interactive discussion site is intended to be an American patriotic community for free speech and American values that is not driven by politics. GI Forum seeks to take no political stance or affiliation. Content deemed politically based or motivated may be removed at Moderators discretion.
    2. Discussions will be limited to the noted Forums posted by moderators. Discussion content is intended to be based within these specific Forums. However Members may provide suggestions for new Forums.
    3. All content you submit, upload, or otherwise make available to the Service (“Content”) may be reviewed by staff members. All Content you submit, or upload may be sent to third-party verification services (including, but not limited to, spam prevention services). Do not submit any Content that you consider to be private or confidential.
    4. You agree to not use the Service to submit or link to any Content which is defamatory, abusive, hateful, threatening, spam or spam-like, likely to offend, contains adult or objectionable content, contains personal information of others, risks copyright infringement, encourages unlawful activity, or otherwise violates any laws. You are entirely responsible for the content of, and any harm resulting from, that Content or your conduct.
    5. We may remove or modify any Content submitted at any time, with or without cause, with or without notice. Requests for Content to be removed or modified will be undertaken only at our discretion. We may terminate your access to all or any part of the Service at any time, with or without cause, with or without notice.
    6. You may not access the Service through automated or programmatic means (such as through a content scraper) without prior permission from us.
    7. You are granting us with a non-exclusive, permanent, irrevocable, unlimited license to use, publish, or re-publish your Content in connection with the Service. You retain copyright over the Content.
    8. These terms may be changed at any time without notice.
    9. Do not post personal or private information of a confidential nature.
    10. If you do not agree with these terms, please do not register or use the Service. Use of the Service constitutes acceptance of these terms.
    11. You also have the right to request the erasure of your personal data. Please contact us if you would like us to remove your personal data or close your account.

Further GI Forum and conduct advice:

  1. Although children are prohibited from using the GI Forum, it should always be expected to be viewable in business contexts or by children. Please do not post anything which is inappropriate in a business setting. This includes, but is not limited to, profanity, sexual, sexualized, or illicit content, hateful, threatening, provocative or vulgar content, links and websites and discussion encouraging the use of piracy or warez distributions, or any otherwise illegal content. Please do not attempt to circumvent the censoring options we have set up.
  2. Be courteous and respect your fellow members. To be clear, personal attacks, aggressive messages, and passive-aggressive behavior is unacceptable. If you take particular issue with another user and are unable to reply in a civilized and constructive way to their posts, you should ignore the user.
  3. Posts should always be constructive and on topic. For common issues, simply telling someone to search is not acceptable. If you disagree with a post and feel the need to reply as such, it’s important that you explain why. Off topic posts may be moved or deleted as required.
  4. If you feel another user is attacking or being aggressive towards you, report their message to staff. Do not respond publicly. This simply continues the back and forth that derails topics and makes them uncomfortable for other users. If someone attacks you and you respond with an attack, you will be warned regardless of who started it.
  5. All content must be posted in English as it is not possible for us to moderate the forums otherwise. In very specific cases (such as distributing a translation), foreign languages may be used provided an English translation is provided as well.
  6. Do not bump threads unless you have something else to add to the discussion. Related to this, resources should not be bumped with updates unless the update is legitimate. Updates for the primary purpose of bumping the resource will be removed. Additionally, replying to discussions which have been inactive for several months or longer should be avoided unless you have something of value to add.
  7. Please do not attempt to sell or trade any products or services in our community, outside what is explicitly allowed in the resource manager or third-party services forum. This rule also extends to give aways and competitions. You should head to a dedicated site for that.
  8. Service and resource providers may not solicit via conversations unless direct communication is explicitly invited.
  9. If you recommend a product or service and link to it with an affiliate code, you must disclose the affiliate relationship.
  10. Personal information and private discussions may not be posted unless it’s clear that all parties involved have consented.
  11. If a moderator or staff member takes an action or posts a directive (for example, to stop with a particular topic), you must adhere to this. If you discover a directive only after you’ve posted a message that contravenes it, delete your post or it will be taken to be ignoring moderators.
  12. If you have a problem with or question about a moderator’s decision, contact the moderator privately or submit a message through the contact system. Posts or topics discussing moderator actions will be removed.
  13. Many third parties have released their own resources (add-ons, styles, graphics, translations, etc.) here. You must follow their specified license. If no license is explicitly specified, re-distribution (of the resource or of derivatives) is not permitted. Violation of resource licenses will lead to resource access being restricted.
  14. Please respect third-party resource authors and their contributions. Many resource authors release things for no charge and don’t owe you anything. Attacking them will simply lead to them not releasing things in the future to the detriment of everyone. Understand that resources are not made specifically to your specifications. If you are unhappy with a resource, we recommend you pay to commission a custom-developed resource to your specifications.
  15. Resource authors may not use any incentives to attract reviews to their resources. However, you may ask people to leave a review.
  16. Promotion of any XenForo-related services/offerings, add-ons/resources, threads or sites is not allowed in profile posts. There are dedicated areas for this.
  17. Support will only be given to licensed customers or their nominated forum accounts.
  18. Each user may only have one account. If duplicate accounts are discovered, the duplicates may be banned.
  19. This site is protected by hCaptcha and it’s privacy policy and terms of service apply.

 

K. INDEMNIFICATION AND HOLD HARMLESS

You agree to defend, indemnify and hold harmless GALVANIZED IRON, its licensee and licensors, and its officers, directors, employees, partners, agents, representatives, contractors, suppliers or affiliates, from and against any and all claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including but not limited to attorneys’ fees), resulting from or arising out of, directly or indirectly, a) your use and access of the Site, by you or any person using your account and password, or b) a breach of these Terms of Use or any other of our legal policies.

L. DISCLAIMER OF WARRANTIES

You understand that we cannot and do not guarantee or warrant that files or documents downloaded from the internet or the Site will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data.

YOUR USE OF THE SITE AND OUR SERVICES OR INFORMATION OR MATERIALS OBTAINED THROUGH THE SITE OR SERVICES IS AT YOUR OWN RISK. THE SITE AND ANY SERVICES OR INFORMATION OR MATERIALS OBTAINED THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER GALVANIZED IRON NOR ANY PERSON ASSOCIATED WITH GALVANIZED IRON MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE OR SERVICES.  WITHOUT LIMITING THE FOREGOING, NEITHER GALVANIZED IRON NOR ANYONE ASSOCIATED WITH GALVANIZED IRON REPRESENTS OR WARRANTS THAT THE SITE OR ANY SERVICES OR INFORMATION OR MATERIALS OBTAINED THROUGH THE SITE OR SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER(S) THAT MAKES THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE OR ANY SERVICES OR INFORMATION OR MATERIALS OBTAINED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PROVIDED BY LAW, GALVANIZED IRON HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.  THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

M. LIMITATION OF LIABILITY

In no event shall GALVANIZED IRON, nor any of its officers, directors, employees, partners, agents, representatives, contractors, suppliers or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use or goodwill, or any other intangible losses, resulting from (i) your access to or use of or inability to access or use the Site; (ii) any conduct or content of any third party on the Site; (iii) any content obtained from the Site or from any user, (iv) unauthorized access, use or alteration of your transmissions to or with us, or (v) any breach of the Terms of Use by GALVANIZED IRON, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have knowledge of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.  In addition, neither GALVANIZED IRON nor any of its officers, directors, employees, partners, agents, representatives, contractors, suppliers or affiliates shall be liable for any delay in delivery of any services to you or failure of the Site to perform for the purpose for which intended. 

O. GOVERNING LAW

These Terms of Use shall be governed and construed in accordance with the laws of the State of Texas, United States of America, without regard to conflict of law provisions.  

P. DISPUTE RESOLUTION/WAIVER TO RIGHT TO TRIAL BY JURY

If a dispute arises out of or relates to these Terms of Service or Use, any other legal policy of GALVANIZED IRON, or any services provided to you by GALVANIZED IRON, or the breach thereof, you agree to negotiate in good faith with GALVANIZED IRON to resolve said dispute.

In the event that we and you are unable to resolve any dispute through good faith negotiations, you agree to submit our dispute to non-binding mediation before pursuing any other action.  You agree that mediation shall take place before a qualified mediator located in Dallas, Texas.

If the dispute(s) cannot be settled through good faith negotiations or non-binding mediation, you agree to submit all claims or disputes not resolved, including all disputes relating to the scope, validity, or enforceability of this Agreement to binding arbitration to the office of the American Arbitration Association located in Dallas County, Texas on demand of either Party. Such arbitration proceedings shall be conducted in accordance with the then-current commercial arbitration rules of the American Arbitration Association. The arbitrator(s) shall have the right to award or include in their award any relief which they may deem proper in the circumstances, including, without limitation, money damages (with interest on unpaid amounts from the due date), specific performance and injunctive relief. Provided, that, to the fullest extent permitted by law, the parties stipulate and agree that the arbitrators shall not provide for, and no arbitration award shall include, any punitive or exemplary damages, all of which are hereby waived by the Parties. The award and decision of the arbitrator(s) shall be conclusive and binding upon all parties and adjustment may be taken on the award notwithstanding the termination or expiration of this Agreement.  

Any failure to enforce any right or provision of these Terms of Use shall not be construed as a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms shall remain in full force and effect.
